NTT Data Corp. has inked an agreement to buy Perot Systems Corp., the IT services division of Dell Inc., for $3.05 billion, a move first reported in the works last month.

NTT — which is based in Japan but has extensive Texas ties, including a U.S. headquarters in Plano— said in a news release that it has entered into a definitive agreement to acquire Perot Systems. The deal is subject to regulatory approval.

John McCain, CEO of NTT Data Inc., will lead the combined company. “There are few acquisition targets in our market that provide this type of unique opportunity to increase our competitiveness and the depth of our market offerings,” said McCain in a prepared statement.

Round Rock-based Dell purchased Perot Systems in 2009 for $3.9 billion. Dell is looking to sell the company to raise cash to fund its $67 billion buyout of Massachusetts-based EMC Corp. It is also considering selling its Quest Software IT management division and e-mail encryption provider SonicWall, according to Reuters.
